Distance Sales Agreement

Welcome to our Distance Sales Agreement ("Agreement"). This document outlines the terms and conditions under which you purchase software development services from us. Please read this Agreement carefully before making a purchase.

1. Introduction

This Agreement governs the sale of software development services ("Services") by CeoBEE Developers ("Company") to you ("Client"). By purchasing our Services, you agree to these terms.

2. Service Description

The Services provided under this Agreement include, but are not limited to, custom software development, project management, and support. Specific details of the Services will be outlined in the project proposal or statement of work.

3. Payment Terms

Payment for the Services is due as specified in the project proposal. All payments must be made in accordance with the payment schedule provided. Late payments may result in suspension of Services until payment is received.

4. Cancellation and Refund Policy

If you wish to cancel the Services, you must notify us in writing. Refunds will be provided according to the terms specified in the project proposal. No refunds will be issued for work already completed.

5. Intellectual Property

All intellectual property rights related to the Services, including any software, code, and documentation, will remain with the Company until full payment is received. Upon full payment, intellectual property rights will transfer to the Client as specified in the project proposal.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the Services. This obligation will survive the termination of this Agreement.

7. Limitation of Liability

The Company will not be liable for any indirect, incidental, or consequential damages arising from the use of the Services. Our liability is limited to the amount paid for the Services.

8. Termination

Either party may terminate this Agreement with written notice if the other party breaches any terms of this Agreement. Termination will not affect any rights or obligations that have accrued prior to the date of termination.

9. Governing Law

This Agreement will be governed by and construed in accordance with the laws of the jurisdiction in which the Company is located.

10. Changes to the Agreement

The Company reserves the right to amend or modify this Agreement at any time. Any changes will be communicated to the Client and will be effective immediately upon posting.
